AGREEMENT FOR TOUR MANAGEMENT SERVICES

This Agreement is entered into by and between Booking.com (hereinafter "Principal") and Gasht Afarinan Masir Aseman (hereinafter "Agent").

1. PURPOSE:
The Agent is appointed as the official executor for Corporate and Management Tours on behalf of the Principal.

2. SCOPE OF SERVICES:
The Agent shall facilitate two distinct categories of tours:

• A. Requested Tours (Mandatory): Tours specifically requested by the Principal. These must be executed strictly according to the Principal's operational guidelines, itinerary, and budget constraints.
• B. Proposed Tours (Discretionary): Tours proposed by the Agent tailored exclusively for Executives and Managers (not the general public). These may range from CIP/Economy to Super Luxury standards.

3. TECHNICAL INTEGRATION & RENEWAL:
The Agent agrees to integrate their operational system with the "Booking.com Bridge System" within one (1) year from the date of this agreement.

Performance Clause: If the Agent successfully completes the system integration AND executes at least two (2) "Proposed Tours" within the initial one-year term, this Agreement shall automatically renew for a period of five (5) years.

4. LIABILITY & PENALTIES:
Failure to meet the conditions set forth in Article 3 (System Integration and Minimum Tour Execution) shall result in the termination of this Agreement. Furthermore, the Agent shall be liable to compensate the Principal for all accrued damages and financial losses.

5. FINANCIAL OBLIGATION:
To finalize this agreement, a processing and validation fee of $480.00 is required.
